Acceptance and related policies
By accessing the website, creating an account, or submitting an order, you agree to these Terms and Conditions and the policies incorporated by reference, including the Research Use Terms, Privacy Policy, Shipping and Returns Policy, and Sales Final Policy. If you do not agree, do not use the services or place an order.
An order is governed by the version of the terms and policies accepted when that order is submitted. Later changes apply prospectively unless applicable law requires otherwise.
Eligibility, accounts, and research-use restriction
You must be at least 21 years old and legally able to enter a binding agreement. Research Account applications must identify a lawful laboratory research purpose. Personal and business email addresses are accepted; an organization or laboratory name is not required. Information must be truthful, current, complete, and reasonably verifiable. New signups must also confirm their email address. Ordering access activates automatically after email confirmation and validation of every required field and certification. Activation is not a professional license, certification, audit, verification, or endorsement. TrueLot may later request clarification and may restrict, suspend, or revoke ordering access when reasonably necessary to protect the stated research-use boundary.
You are responsible for protecting your credentials and for activity under your account, and you must promptly report suspected unauthorized access. The public catalog and pricing remain browseable; add-to-cart, cart, checkout, and order submission require a completed Research Account with a current Research Use Only acknowledgment and, for accounts enrolled in email confirmation, a confirmed email address.
All catalog materials are sold exclusively for lawful laboratory research and identification purposes. They are not intended for human or veterinary use, dosing, injection, ingestion, diagnosis, treatment, prevention, clinical use, household use, or administration of any kind. You represent that you have an appropriate research setting, knowledge, procedures, and authorization to handle the materials and will follow applicable laws, institutional rules, and research safety practices.
Product information and COA scope
Product descriptions, research references, images, and technical information are provided for general research context and may be corrected or updated. A Certificate of Analysis describes the submitted representative sample and the measurements reported for the identified lot.
It does not mean that every individual vial was analyzed.
Unless expressly included, the record does not establish sterility, endotoxin status, heavy-metal limits, chemical or terminal form, storage stability, or any other unlisted characteristic.
A COA does not make a research material suitable for human or veterinary use.
Orders, acceptance, pricing, and payment
Your order submission is an offer to purchase. An automated acknowledgment confirms receipt but is not acceptance. TrueLot may accept, decline, limit, or cancel an order before shipment for inventory, compliance, research-use, fraud-prevention, payment, pricing-error, or operational reasons.
Prices, discounts, availability, taxes, and shipping charges shown at checkout control at submission, subject to correction of obvious errors before acceptance. Payment authorization may be obtained at submission. If TrueLot cancels an order or item, amounts collected for the canceled portion will be refunded to the original payment method, subject to applicable law and provider processing times.
After an order is submitted, the customer may not cancel it or request changes to items, quantities, strength, shipping service, or address, except where applicable law requires otherwise. Contact support immediately about a suspected error, but a requested change will not be promised or treated as accepted unless TrueLot confirms it in writing.
Shipping, delivery, and sales final
Orders are subject to the Shipping and Returns Policy and Sales Final Policy. Carrier transit begins after carrier acceptance and is separate from processing time. Delivery estimates are not guarantees unless expressly stated as guaranteed.
Properly fulfilled orders are final. Buyer-remorse returns and exchanges are not accepted because returned research materials cannot be restored to sellable exact-lot inventory. This does not limit rights that cannot lawfully be waived, including qualifying nonshipment, delayed-shipment, materially incorrect fulfillment, damage, or unauthorized-transaction claims.
Visible damage, missing contents, or materially incorrect fulfillment must be reported within 24 hours of carrier-confirmed delivery with the order number, written details, supporting photographs, and one continuous unedited unpacking video beginning before the package is opened. Late or incomplete evidence may prevent verification where law permits, but it does not automatically waive nonwaivable rights.
Communications
You agree that TrueLot may send transactional and service communications needed to operate your account or fulfill and support an order, including account notices, payment or fraud alerts, order confirmations, shipping updates, policy notices, and responses to your requests.
Optional marketing emails may include discounts, promotions, product news and cart reminders. Manage your email preference during registration or in your account, or unsubscribe using the link in any marketing email. Marketing is not required to create an account or make a purchase. Essential account, security and order communications continue regardless of your marketing preference. SMS or text marketing will be sent only if you provide separate consent; message frequency may vary and message and data rates may apply. You may withdraw SMS consent as described in the message. Opting out of marketing does not stop necessary transactional communications where permitted by law.
Intellectual property
The website and its original text, branding, logos, graphics, photographs, vial images, page layouts, databases, software, selection, arrangement, and other content are owned by or licensed to TrueLot Research and are protected by applicable intellectual-property laws.
Except with prior written permission, you may not reproduce, copy, republish, distribute, display, modify, translate, create derivative works from, scrape, systematically extract, frame, mirror, license, sell, or commercially exploit website content, nor remove ownership notices or use TrueLot branding in a way that suggests affiliation or endorsement.
These restrictions do not prohibit uses that applicable law expressly permits, including fair use. A customer or researcher may also retain and share an unaltered original laboratory COA for the correct TrueLot lot for lawful research, procurement, verification, or recordkeeping, provided the report remains complete, is not misleadingly relabeled, and is not used to imply endorsement or human or veterinary suitability.
Nothing in this section restricts an honest review, a legally protected communication, a report to a regulator or law-enforcement authority, or another right that applicable law does not allow us to limit.
Prohibited conduct
You may not use the services or materials to violate law, evade the research-use restriction, misrepresent identity or qualifications, infringe rights, interfere with security or operations, introduce malicious code, test vulnerabilities without written authorization, access another account, automate abusive requests, resell for a prohibited purpose, or facilitate unsafe, clinical, human, or veterinary use.
Third-party services and links
Hosting, payment, fraud-prevention, analytics, communications, and shipping services may be provided by independent third parties subject to their own terms and privacy practices. Links to outside sites are provided for convenience or research context; TrueLot does not control and is not responsible for their content, availability, or practices.
Disclaimers
To the fullest extent permitted by law, the website, content, and materials are provided on an “as is” and “as available” basis. TrueLot disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing, except to the extent a disclaimer is prohibited by law. TrueLot does not warrant uninterrupted access, error-free content, a particular research outcome, or suitability beyond the expressly documented research-use purpose.
Limitation of liability
To the fullest extent permitted by law, TrueLot and its owners, officers, employees, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, data, goodwill, or research opportunity. For claims arising from an order, aggregate liability will not exceed the amount actually paid to TrueLot for the affected order. These limits do not apply to fraud, willful misconduct, gross negligence, or liability and remedies that applicable law does not permit the parties to limit.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless TrueLot and its owners, officers, employees, and agents from third-party claims, losses, and reasonable costs arising from your material breach of these terms, unlawful conduct, infringement, account misuse, or use of materials outside the stated research purpose. This obligation does not apply to the extent a claim results from TrueLot’s fraud, willful misconduct, gross negligence, or other fault that cannot lawfully be shifted.
Suspension and termination
TrueLot may suspend or terminate access, cancel unaccepted orders, limit quantities, or preserve records when reasonably necessary for compliance, safety, suspected fraud, prohibited use, payment risk, security, or a material breach. Obligations that by their nature should survive—including payment, intellectual-property, disclaimers, liability, indemnification, and dispute provisions—remain effective after termination.
Changes to these terms
We may revise these terms by posting an updated version and effective date. Changes apply prospectively. Continued website use after the effective date constitutes acceptance for future use, but an order remains governed by the policy version accepted when it was submitted unless applicable law requires otherwise.
Governing law and general provisions
These terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Subject to any nonwaivable right to bring a claim elsewhere, exclusive venue for a dispute will lie in the state courts located in Hamilton County, Tennessee, or the federal court with jurisdiction over Hamilton County, and each party consents to personal jurisdiction there.
If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A waiver must be written and applies only to the stated instance. These terms and incorporated policies are the entire agreement about the services and orders, except for an express written agreement signed by TrueLot.
